If you store clinical, coaching, or personal notes within our platforms, we provide a 30-day export window upon account cancellation so you do not lose vital records. Omnichannel Applicability & Third-Party Platforms

The terms, disclaimers, and intellectual property protections outlined in this agreement apply universally to all content created, published, or distributed by Stacy Braiuca and Braiuca Enterprises, LLC, regardless of the hosting platform. This includes, but is not limited to, our official websites, social media profiles (LinkedIn, Facebook, Instagram, etc.), third-party publishing platforms (e.g., blog.noomii.com, Substack), podcasts, and guest appearances under any of our protected brand names (Stacy Braiuca, The Squirrel Wrangler™, GotTechxiety™, etc.).

Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Missouri. Any dispute arising out of your use of our websites, digital products, or coaching services shall be settled by binding arbitration in Kansas City, Missouri. You agree to waive your right to a trial by jury or to participate in a class-action lawsuit.

Service Contracts & Termination of Relationships

While these Terms of Service govern the general use of our websites, digital products, and community spaces, all 1-on-1 transformational mentoring, B2B consulting, and specialized services are entered into via specific, separate written agreements. The rights, terms, notice periods, and conditions for terminating those specific professional relationships, services, and contracts will be explicitly detailed within those individual agreements. In the event of a conflict between these general website terms and a specific signed service contract, the specific service contract shall prevail.

Acceptable Use Policy (AUP) & The "Vibe" Guardrails

To protect the integrity and "vibe" of our community, you agree not to engage in harassment, spamming, or the uploading of harmful, offensive, or illegal content. We reserve the right to suspend or delete accounts at our sole discretion, especially if a user's behavior violates professional ethical standards (e.g., NASW, ICF, or APA codes).

Prohibited Conduct & Site Security

By accessing our websites, you agree not to engage in any activity that disrupts or interferes with our servers, networks, or AI agents. You are strictly prohibited from attempting to gain unauthorized access to our platforms, uploading malicious code or viruses, spamming our contact forms, or using our websites for any illegal or unauthorized purpose.

External Links & Third-Party Content

Our websites and programs may contain links to third-party websites or services that are not owned or controlled by Braiuca Enterprises, LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that Braiuca Enterprises, LLC shall not be responsible or liable for any damage or loss caused by your use of or reliance on any such external content.

Limitation of Liability & Indemnification

To the maximum extent permitted by law, Braiuca Enterprises, LLC shall not be liable for any indirect, incidental, or consequential damages. In no event shall our total liability exceed the total amount paid by you to us during the twelve (12) months prior to the claim. You agree to indemnify and hold harmless Braiuca Enterprises, LLC from any claims, damages, or legal fees arising from your breach of these terms or your misuse of our platforms.

3. Extended Medical, Ethical & Professional Disclaimers

HIPAA Exemption & Health Privacy

Because the services provided through Braiuca Enterprises, LLC are strictly coaching, mentoring, and educational (not clinical therapy), these services and digital products are not subject to the Health Insurance Portability and Accountability Act (HIPAA). Communications and records within our coaching programs are not considered Protected Health Information (PHI) under federal law.

Service vs. Software Distinction & No Fiduciary Duty

Purchasing a digital product, software component, or app subscription from Braiuca Enterprises, LLC does not establish a therapist-client, supervisor-supervisee, or coaching relationship. We are acting as a software/platform provider. We hold no fiduciary duty to you or your clients regarding the use of our software.

Scope of Practice & Educational Purposes Only

Nothing we discuss, share, or provide across our platforms, social media channels, or third-party publications should ever be considered advice—medical or otherwise. Our content does not substitute for medical, psychiatric, therapeutic, spiritual, legal, financial, or other forms of professional counsel. All public-facing information is strictly for educational purposes only. Furthermore, any services rendered are provided strictly within the scope of the specific education and experience of the providers providing them, operating under their respective certifications or licenses, and their own malpractice or liability insurance.

Not Therapy Disclaimer & Professional Capacity

Stacy Braiuca holds Master of Social Work (MSW) and Master of Public Health (MPH) degrees, alongside active clinical licenses as an LCSW (MO, AR), LSCSW (KS), and LISCSW (MN). However, all services provided through this website are rendered by Stacy Braiuca solely in her capacity as a coach, mentor, and NLP/MER®/Hypnosis and/or Spiral Dynamics® practitioner. No therapist-client relationship is formed.

Stacy's MPH background deeply informs her systemic, educational, and community-impact initiatives (such as bridging the digital divide through TechSquirrel Academy™). This background is applied strictly for educational and organizational development purposes, not as individualized medical, clinical, or epidemiological advice.

Note on Continuing Education: Stacy is currently in the process of completing her International Coaching Federation (ICF) certification as an ACC (and eventually PCC), as well as her ACHE Certified Hypnosis Coach credentials, training under Dr. Lisa Leit of Happy Whole Human.

State Jurisdiction Overlap & Regulatory Bodies

As a lifelong social worker, Stacy's foundational values are rooted in the NASW Code of Ethics. However, the services provided through Braiuca Enterprises, LLC fall entirely outside the jurisdiction of state behavioral health boards. We operate under the ethical guidelines of the ICF, the ACHE, and the AIP.

• No Dual Relationships: We do not provide coaching services to current or former therapy clients, nor do we provide therapy to current or former coaching clients.
• Mandated Reporting: Stacy Braiuca is legally and ethically bound as a mandated reporter. Confidentiality will be broken in cases of suspected child or elder abuse, or if there is an imminent risk of severe harm.

Corporate & B2B Consulting Distinction

Corporate workshops, TechSquirrel Academy™ trainings, and B2B consulting are organizational development and educational services. They are not group therapy, clinical interventions, or Employee Assistance Program (EAP) clinical services for employees.

Earnings & Business Results Disclaimer

Any income figures, business growth projections, or financial examples provided on our websites or during 🐿️ Show Me Your Nuts 🥜 are illustrative only. We do not guarantee that you will achieve any specific financial result. You agree to indemnify and hold harmless Braiuca Enterprises, LLC from any financial losses or business damages you may incur as a result of implementing our coaching or utilizing our digital tools.

4. Customer Service, Support & Social Media Policy

Official Contact Channels & SLA

All customer service inquiries must be submitted via email to [email protected]. Our support team operates Monday through Thursday. Please allow up to 48 business hours for a response.

Social Media & Digital Interaction Boundaries

In alignment with NASW and ICF best practices, Stacy Braiuca does not accept personal "friend" requests from current or former clients on personal social media accounts. Direct Messages (DMs) are not secure and should not be used for coaching, crisis support, or sharing sensitive information.

5. Full Affiliate & Partner Agreement

Commission Payout Terms & Separate Contracts

All affiliate relationships are governed by a separate, specific Affiliate Agreement contract. The exact commission structures, payment schedules, and requirements will be explicitly defined in your individual signed Affiliate Agreement.

FTC Compliance Mandate

Affiliates are legally required to comply with all FTC guidelines regarding endorsements. You must clearly and conspicuously disclose your affiliate relationship whenever sharing our links (e.g., using #ad or #affiliate).

Brand Bidding & Trademark Prohibition

Affiliates are strictly prohibited from running paid search campaigns bidding on our trademarked terms, including "Stacy Braiuca", "Squirrel Wrangler™", "GotTechxiety™", "SourceGPT™", "Calmware™", "2 A.M. Rebel Club™", "Threshold Crossing™", or "Acorn App Toolbox™".

6. Collaborator, Non-Disclosure & Mutual Indemnification

Confidentiality & Non-Disclosure (NDA)

Any guest expert, contractor, or network collaborator granted access to the internal operations of Braiuca Enterprises, LLC agrees to strict confidentiality. You may not disclose, share, or utilize our trade secrets, business practices, coaching techniques, operational processes, or backend workflows (including GoHighLevel AI Agent prompts).

Non-Solicitation (Anti-Poaching)

To protect the integrity of our community, any collaborator, guest speaker, or network partner who interacts with our clients (e.g., inside the 2 A.M. Rebel Club™, during TechSquirrel Academy™ workshops, or through participation in ANY groups, courses, communities, or workshops by Stacy Braiuca with or without any of our branding) agrees not to actively solicit, poach, or directly market competing services to our clients for a period of twelve (12) months following the collaboration, unless explicitly agreed upon in writing by Stacy Braiuca.

Joint Ownership vs. Work-for-Hire

Unless explicitly stated in a separate written agreement, any code, "vibe," or content developed collaboratively with contractors or partners for the Acorn App Toolbox remains the sole intellectual property of Braiuca Enterprises, LLC under a "work-for-hire" doctrine.

Mutual Indemnification

In the event of a collaboration or partnership, both parties agree to a mutual indemnification clause. If a purchaser or third party initiates legal action arising from a collaborative product or "vibe-coded" app, both parties agree to defend and hold each other harmless for their respective shares of the code or content, rather than one party assuming full liability.

7. The "No-Zoom", Photography & Digital Media Policy

The "No-Zoom" & No Screen Recording Rule

We do not use Zoom for our events, coaching, or participation in ANY groups, courses, communities, or workshops by Stacy Braiuca (with or without any of our branding). We utilize secure, proprietary virtual environments (such as the Quantum Quaff™ and our Virtual Office). Because we fiercely protect the privacy and vulnerability of our community, you are strictly prohibited from screen-recording, audio-recording, photographing, or using AI note-takers (e.g., Otter.ai, Fathom, Fireflies) in any of our virtual spaces or events.

Exception: Screen recording or audio recording by attendees may only occur in very limited circumstances and strictly requires the prior, complete, and written legal consent of Stacy Braiuca.

Our Implied Consent to Record

While you may not record our sessions without written consent, Braiuca Enterprises, LLC occasionally records sessions within our virtual spaces for educational, archival, or marketing purposes. Links to these legal policies are visibly posted within our virtual rooms. By entering and remaining in these spaces, you acknowledge these terms and provide your implied consent to be recorded by us. If you do not consent, you must exit the space or disable your camera and alter your display name.

Digital Materials, Workbooks & Emailed Resources

Any digital materials provided to you—whether as free lead magnets, emailed resources, paid workbooks, or session notes—are for your personal, private, non-commercial use only. They remain the exclusive intellectual property of Braiuca Enterprises, LLC and may not be shared, reproduced, or distributed without express written consent.

Purchased & Custom Recordings

If you purchase or are provided with a specific recording as part of a coaching package (e.g., custom self-hypnosis, MER® sessions, or guided meditations), these files are for your personal use only. You may not share, distribute, publish, or sell these recordings under any circumstances.

8. Software, "Vibe-Coded" Apps & End User License Agreement (EULA)

Platform Immunity & Component Provider Disclaimer

When you purchase HTML code, templates, or apps from the Acorn App Toolbox, we are acting as a component provider. You (the customer) are the "Data Controller." You are solely responsible for the security, data privacy, and legal compliance (including HIPAA or GDPR) of the environment where this code is deployed. Our apps are general-purpose tools and are not certified as Medical Devices or HIPAA-compliant Electronic Health Records (EHR). If you use our app to store sensitive patient data and experience a breach, you agree to indemnify Braiuca Enterprises, LLC against any resulting legal claims.

Intellectual Property & "Vibe" Protection

Braiuca Enterprises, LLC explicitly claims ownership over the creative expression, "look and feel," UI/UX, and specific cohesive "vibe" of our applications. We maintain an internal audit trail of our prompts and human-led iterative edits to establish our role as the human-in-the-loop creator of this AI-assisted code.

Grant of License & Anti-Reverse Engineering

You are granted a revocable, non-exclusive, non-transferable license to use the software strictly for your individual or internal business purposes. You may not create derivative works. You are strictly prohibited from decompiling, reverse-engineering, scraping, or using our app's "vibe" or code to train competing AI models, or reselling the raw HTML/code as your own product.

Transfer of Risk & "As-Is" Software Warranty

Once the HTML/Code is delivered or downloaded, the risk of loss and responsibility transfers to the purchaser. Due to the iterative nature of "vibe coding" and AI-assisted development, this software is provided "As-Is" without warranties of being "error-free" or "secure." We explicitly disclaim liability for negligence regarding known exploits, data loss, or conflicts with your existing website plugins.

The "Vibe Coding" Security Clause

Users are strongly encouraged to perform their own security audit before deploying this code in a live environment. Braiuca Enterprises, LLC makes no claims regarding the invulnerability of AI-generated code to modern cyber threats.

AI Output Disclaimer

If the app or tool utilizes AI to generate coaching, educational advice, or text, you acknowledge that AI outputs may occasionally be inaccurate, outdated, or biased. All AI-generated outputs must be independently verified by the user before implementation.

Educational IP & Attribution Requirements

The purchase of educational materials (PDFs, videos, prompts) is for a single user. If you are granted permission to utilize our "vibe" or frameworks in your own practice, you must maintain any required "Powered by The Squirrel Wrangler™" or "Powered by Acorn App Toolbox™" attribution branding as stipulated in your purchase agreement.

Refund Policy for Digital Products

Due to the immediate access, proprietary code, and downloadable nature of our digital products, software, and tools purchased from the Acorn App Toolbox, all sales are final and non-refundable once accessed or downloaded.
