1. Omnichannel Applicability & Third-Party Platforms

The terms, disclaimers, and intellectual property protections outlined in this agreement apply universally to all content created, published, or distributed by Stacy Braiuca and Braiuca Enterprises, LLC, regardless of the hosting platform. This includes, but is not limited to, our official websites, social media profiles (LinkedIn, Facebook, Instagram, etc.), third-party publishing platforms (e.g., blog.noomii.com, Substack), podcasts, and guest appearances under any of our protected brand names.

⚠️ Important Notice Regarding Professional Services (Not Therapy)

Stacy Braiuca holds Master of Social Work (MSW) and Master of Public Health (MPH) degrees, alongside active clinical licenses as an LCSW (MO, AR), LSCSW (KS), and LISCSW (MN) with over 30 years of experience. However, all services provided through stacybraiuca.com, acornapptoolbox.com, and Braiuca Enterprises, LLC are rendered by Stacy Braiuca solely in her capacity as a coach, mentor, and NLP/MER®/Hypnosis and/or Spiral Dynamics® practitioner—NOT as a licensed clinical social worker.

Because the services provided through Braiuca Enterprises, LLC are strictly coaching, mentoring, and educational (not clinical therapy), these services and digital products are not subject to the Health Insurance Portability and Accountability Act (HIPAA). While we fiercely protect your privacy and confidentiality under our own strict business ethics and GDPR/CCPA compliance, communications and records within our coaching programs are not considered Protected Health Information (PHI) under federal law.

3. Scope of Practice & Educational Purposes Only

Nothing we discuss, share, or provide across our platforms, social media channels, or third-party publications should ever be considered advice—medical or otherwise.   • No Dual Relationships: We do not provide coaching services to current or former therapy clients, nor do we provide therapy to current or former coaching clients.
  • Mandated Reporting: While coaching is highly confidential, Stacy Braiuca is legally and ethically bound as a mandated reporter. Confidentiality will be broken in cases of suspected child or elder abuse, or if there is an imminent risk of severe harm to yourself or others.

5. Crisis Protocol & "Empathic Suicide™" Clarification

Braiuca Enterprises, LLC utilizes proprietary coaching frameworks, including the concept of Empathic Suicide™. This term is a metaphorical and energetic framework referring to severe boundary collapse, people-pleasing, and energetic burnout. It does not refer to clinical suicidality. When you buy an app from us, you're buying a license to use it—don't change the colors and resell it. Software, "Vibe-Coded" Apps & AI Policies

1. Platform Immunity & Component Provider Disclaimer

When you purchase HTML code, templates, or apps from the Acorn App Toolbox, we are acting as a component provider. You (the customer) are the "Data Controller." You are solely responsible for the security, data privacy, and legal compliance (including HIPAA or GDPR) of the environment where this code is deployed. Our apps are general-purpose tools and are not certified as Medical Devices or HIPAA-compliant Electronic Health Records (EHR). If you use our app to store sensitive patient data and experience a breach, you agree to indemnify Braiuca Enterprises, LLC against any resulting legal claims.

2. End User License Agreement (EULA) & "Vibe" Protection

When you download or access a "vibe coded" app or digital tool, you are granted a revocable, non-exclusive license to use the software strictly for your individual or internal business purposes. Braiuca Enterprises, LLC explicitly claims ownership over the creative expression, "look and feel," UI/UX, and specific cohesive "vibe" of our applications. You may not create derivative works. 3. The "Kill Switch" & Ethical Revocation

4. Software "As-Is" & Security Audit Clause

Once the HTML/Code is delivered, the risk of loss transfers to the purchaser. Due to the iterative nature of "vibe coding" and AI-assisted development, this software is provided "As-Is" without warranties of being "error-free" or "secure." Users are strongly encouraged to perform their own security audit before deploying this code in a live environment. 1. Affiliate Program Rules & Contracts

Approved affiliates promoting our tools and memberships must explicitly market Stacy Braiuca's services as transformational mentoring and NLP/MER® education—never as therapy. Affiliates cannot make income guarantees and must clearly disclose their financial relationship with us in compliance with FTC guidelines. Please note: All affiliate relationships are governed by a separate, specific Affiliate Agreement contract. The exact commission structures, payment schedules, and requirements will be explicitly defined in your individual signed agreement.

2. Collaborator Non-Disclosure (NDA) & Non-Solicitation

Any guest expert, contractor, or network collaborator granted access to our internal operations or client communities agrees to strict confidentiality. Collaborators may not disclose our trade secrets, business practices, coaching techniques, operational processes, or backend workflows. Furthermore, collaborators agree not to actively solicit or poach clients from our private spaces (such as the 2 A.M. 3. Client Protection & Third-Party Liability

We frequently invite guest experts into our virtual spaces and collaborate with other hosts on The Breakthrough Show Network. While we strive to align with high-integrity professionals, Braiuca Enterprises, LLC is not legally liable for the actions, advice, or business practices of third-party collaborators outside of our platforms. If a client chooses to hire a guest expert independently, they do so at their own risk.

1. Age Restriction & COPPA Compliance

Our websites, digital products, and virtual communities are intended solely for users who are 18 years of age or older. We do not knowingly collect personal information from minors under the age of 13 in compliance with the Children's Online Privacy Protection Act (COPPA). If we become aware that we have inadvertently received personal information from a minor, we will delete such information from our records immediately.

All payments for coaching, digital products, tools, and community memberships are processed securely. Due to the immediate access and downloadable nature of our digital products, frameworks, and tools purchased from Acorn App Toolbox, all sales are final unless explicitly stated otherwise.

2. Service Contracts & Termination Rights

While these general policies cover our websites, digital tools, and public communities, all 1-on-1 transformational mentoring, B2B consulting, and specialized services are governed by specific, separate written agreements. The exact terms, notice periods, and rights for terminating those professional relationships and contracts will be explicitly outlined in your individual service agreement.

3. TechSquirrel Academy™ Grant & Scholarship Terms

For specific programs, such as the Seniors with AI initiative, we may offer a "Pay-What-You-Can" grant structure. These grants are awarded at the sole discretion of Braiuca Enterprises, LLC. They are non-transferable, cannot be redeemed for cash, and may be revoked if a user violates our community guidelines.

4. The "No-Zoom" & No Screen Recording Clause

We do not use Zoom for our events, coaching, or participation in ANY groups, courses, communities, or workshops by Stacy Braiuca (with or without any of our branding). Access to our platforms requires adherence to the rules of our specific virtual environments. To protect our community's privacy, we strictly prohibit any screen-recording, audio-recording, or the use of AI note-takers (e.g., Otter.ai, Fathom) by attendees. Screen recording or audio recording by attendees may only occur in very limited circumstances and strictly requires the prior, complete, and written legal consent of Stacy Braiuca.

5. Our Implied Consent to Record

While you may not record our sessions without written consent, Braiuca Enterprises, LLC occasionally records sessions within our virtual spaces for educational, archival, or marketing purposes. Links to these legal policies are visibly posted within our virtual rooms. By entering and remaining in these spaces, you acknowledge these terms and provide your implied consent to be recorded by us. If you do not consent, you must exit the space or disable your camera and alter your display name.

6. Right of Refusal & Community Termination

What happens if I have a mental health emergency?

Can I get a refund on a digital product or app?
